Procter & Gamble Agrees to Buy Thorne for $3.8 Billion

P&G said the acquisition would expand its ability to meet growing consumer interest in self-care, prevention, and personalized wellness.

Premium health and wellness company Thorne has entered a definitive agreement to be acquired by The Procter & Gamble Company (NYSE: PG). P&G CEO Shailesh Jejurikar confirmed the $3.8 billion deal in an interview with CNBC where he discussed the company’s focus on beauty and wellness.

P&G’s supplement brands currently include New Chapter, Metamucil, and Align Probiotic.

Founded in 1984 by Al Czap, Thorne built a reputation for quality and scientific rigor, becoming a trusted brand among healthcare practitioners, athletes, and professional sports teams. The company went public in 2021 and was acquired by private equity firm L Catterton in October 2023 for $680 million.

According to Colin Watts, CEO of Thorne, the acquisition positions Thorne to continue advancing its mission to become the world’s most trusted personalized health brand.

“For more than 40 years, Thorne has earned the trust of healthcare practitioners, consumers, and partners by putting science, quality, and the people we serve at the center of every decision,” Watts said in an announcement. “As we looked to the future, we kept coming back to one question: What will best position Thorne to continue fulfilling its mission? We believe P&G is the right partner to help us expand our impact while staying true to the values and standards that have always defined Thorne.”

P&G said the acquisition would expand its ability to meet growing consumer interest in self-care, prevention, and personalized wellness.

In addition to its range of nutritional supplements and technology tools, Thorne offers an AI-powered wellness advisor to its customers called Taia.

“This is an important step for P&G’s Personal Health Care business,” Paul Gama, CEO P&G Health Care, said in the announcement. “Consumer interest in self-care, prevention, wellness, and personalized health continues to grow, and Thorne strengthens our position in premium wellness with a trusted, science-backed brand that complements our existing portfolio.”

The transaction is expected to close later this year, subject to customary closing conditions and regulatory approvals.

Marc Magliacano, a managing partner at L Catterton, said in an announcement: “Our investment in Thorne reflects what L Catterton does best: identifying enduring shifts in consumer behavior and partnering with category-leading brands to help them realize their full potential. As consumers increasingly prioritize proactive, clinically-backed solutions that increase healthspan, we believed Thorne was uniquely positioned to lead the category. We are proud to have partnered with the company during this important chapter in its growth and are confident it is well positioned for all that is ahead.”
